These Terms of Use ("Terms") govern access to and use of getpayd.co.in and the Payd platform (the "Service"), operated by Parrot Systems Ltd ("Payd", "we", "us", "our"), a company registered in the United Kingdom.

By creating an account or using the Service, you agree to these Terms.

1What Payd is

Payd is a SaaS invoicing and payment intelligence tool for freelancers and agencies (primarily based in India) who bill clients based in the UK in GBP. Payd allows a freelancer to create invoices and generate a payment link that the freelancer's UK client can use to pay via Stripe Pay by Bank (UK Open Banking).

2What Payd is not

Payd is not a payment processor, bank, financial institution, money transmitter, payment institution, or Electronic Money Institution. Payd does not hold, custody, or have control over client funds at any point in the payment flow.

Payment processing is carried out by Stripe, a regulated payment service provider. Payment ultimately settles into the freelancer's own pre-existing GBP virtual account held independently with a third-party provider such as Skydo or Xflow. Payd has no involvement in, and no control over, the conversion of GBP to INR or onward settlement to the freelancer's Indian bank account - this is carried out entirely by the freelancer's chosen third-party provider, under that provider's own terms.

Payd does not provide tax, legal, accounting, foreign exchange, or regulatory compliance advice. Freelancers are responsible for their own compliance obligations, including FEMA, FIRA/FIRC documentation, and Indian tax reporting.

Payd does not hold, custody, or have control over client funds at any point in the payment flow. Payment is processed by Stripe, an FCA-authorised payment service provider, and settles directly into the freelancer's own independently-held GBP virtual account with a third-party provider such as Skydo or Xflow.

Payd's position is that it does not itself provide a regulated payment service under the Payment Services Regulations 2017, on the basis that Stripe is the entity initiating and executing the payment transaction under its own regulatory authorisation, and Payd's role is limited to invoicing software that integrates Stripe's payment infrastructure. This position has not yet been confirmed by a solicitor specialising in UK payment services regulation and should not be treated as settled. In particular, whether Payd's role in presenting and routing the Stripe Pay by Bank flow could itself constitute the provision of a payment initiation service - which would require separate FCA authorisation or registration - depends on facts not yet reviewed by counsel, including the precise division of responsibility between Payd's interface and Stripe's regulated infrastructure. No public-facing claim of regulatory exemption should be published until this is confirmed.

8Disclaimers and limitation of liability

We may suspend or terminate your account for breach of these Terms, suspected fraud, or as required by law. You may close your account at any time by contacting hello@getpayd.co.in.

10Changes to these Terms

We may update these Terms from time to time. Material changes will be notified to active users by email before taking effect.

11Governing law

These Terms are governed by the laws of England and Wales. Any disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
